萬某與何某物權保護糾紛上訴案

 西城區廣安門外大街305號八區某房屋系某房地產開發有限公司(以下簡稱某公司)開發的商品房屋,該房屋用途為配套商業。2008年10月15日,某公司作為甲方,萬某作為乙方,雙方簽訂《配套商業租賃合同》,約定:甲方將本案涉案房屋出租給乙方使用,租期自2008年10月16日至2013年11月15日,平均每月租金為3821元;租賃期間,乙方未經甲方書面同意,將房屋轉租、轉借給他人使用的,甲方有權終止合同,收回該房屋,乙方應按照合同總租金的10%向甲方支付違約金。
 2010年1月13日,萬某與王某簽訂《房屋租賃合同》,萬某將涉案房屋小間租與王某使用,租期自2010年1月27日至2013年1月27日止,房屋租金為每月3000元。2010年5月10日,萬某與王某某簽訂《租房合同》,萬某將涉案房屋東側租與王某某用于個體經營(成人保健),萬某在開發商租期內提供王某某無限使用,房屋租金為每月3000元。
 另查明,2010年4月18日,某公司與何某簽訂《商品房現房買賣合同》,將涉案房屋銷售給何某。何某分別于2010年4月18日、2010年5月28日向某公司交納房價款共計1,454,640元。2010年6月30日,某公司與何某簽訂《房屋交接單》,確認某公司已于2010年6月30日前將涉案房屋交付給何某。同日,某公司出具情況說明,證明何某自房屋交付之日(2010年6月30日)起取得了《配套商業租賃合同》中出租方的資格,該公司作為出租方相關的權利義務已轉讓給購房人何某。2010年8月12日,何某取得涉案房屋的房屋所有權證書。
